Logo proposal

Since  graphic  design  is  methodology  of  visual  communication,  and  problem solving  through  the  use  of  type,  space  and  images. Therefore,  we  use  various  methods  to  combine  words,  symbols,  and  images  to create  visual  representation  of  your  ideas  and  messages.  We  may  use  a  combine typography,  Visual  arts  and  page  layout  techniques  to  produce  final  result.  We often  refer  to  both  the  process  (designing)  by  which  the  communication  is  created and  the  products  (designs)  which  are  generated.  Some  of  our  graphic  designs include  identity  (logo  and  branding)  publications  (magazines,  newspapers  and books)  prints  advertisement,  posters,  billboards,  website  graphics  and  elements, signs  and  products  packaging.  We  will  develop  a  product  package  that  will  include logo  or  other  artwork,  organized  text  and  pure  design  elements  such  as  images, shapes  and  color  which  will  unify  the  piece.
These  are  the  procedures,  before  we  commence  on any  project  and  I  will  take  my  time  to  break  it  down  as  best  as  I  can.

PAYMENT DETAILS 
Deposit and Final Payment 
I tend to seek full payment up front due to the fragile and precarious nature of releasing and showing unique ideas prior to being paid. If you are happy to pay full amount, please let me know. 
A percentage will be deducted from the payment if full payment is made upfront as I mentioned above 
If full payment is not appropriate, then minimum of 50-70% is usually required. This routine and has unfortunately been born through necessity.  
The final balance is due toward completion of the project when the logo has been approved. Only when the final payment has been received will any requested digital files be released. 
Only on this final payment will full right to logo design to be transferred. 

Payment required to secure a project 
I can only secure this project to my schedule on receipt of the deposit. If there is any kind of delay at this point, other projects may take priority. This is not to pressure you in any ways, it’s just so you know where you stand in term of scheduling. 
Once deposit is received, I will alert you the payment and further information in preparation for the start of the project. 
Payment Methods 
Preferred method is bank transferred. If you have another method of payment you would like to use then please, by all means suggest this. 

OWNERSHIP, COPYRIGHT, TRADEMARK & LEGAL 
Ownership and copyright 
All the preparation materials, sketches, visuals, including the electronic files used to create the project remain the property of Company Ltd. The final artwork/digital files will become the property of the client mentioned in this proposal ONLY upon the final payment of the project. 
If final payment is NOT received as agreed, and set out in the initial proposal, all the design and concepts will remain the property of Company Ltd. 
If there are issues with final payment, I reserve the right to reuse or amend any of these ideas for other clients or to be used freely as concepts in my portfolio. 
Should the client attempt to use/modify/alter/replicate or steal any of my ideas without making agreed final payment, I will take immediate legal counsel 
Company Ltd reserves the right to show any artwork, ideas, sketches created for this project in a portfolio as examples of client work. This can be during the project and also on completion of. If you have any specific ‘secrecy/stealth mode’ requirements, please mention this before agreeing to the proposal. 
Final payment ensures that ONLY the agreed logo design becomes the clients property. Any previous ideas/concepts remain the property of Company Ltd, unless any prior agreement has been made. 
Trademark & Copyright 
Due to lengthy and often costly procedures required to initiate any form of Trademark, Copyright and Legal name search, I am unable to provide any practical help with this. 
If you require the logo to be registered as a trademark, then you must seek proper legal advice. 
Brand Naming 
You take full responsibility for ensuring that the company/product/name is legally free/available before work is started. Should any legal issue arise with the naming after the project has been completed, no refunds are possible, neither am I legally responsible for any problems thus arising. 
Please ensure the name you are using is free and legally safe to use before committing to a logo project. 
Project name changes during a project are exceptionally costly, and challenging to implement, and cause significant delay. 
If a change of name is required mid-way during a project, and significant logo exploration work has already presented, then I will have no choice but to recalculate the total cost of the project, to allow for the reworking involved. In some case this can be as much as double the initial agreed cost. 
Please ensure that the name you are using has been: subject to appropriate checks, is not in use by someone else, and/or infringes on any other registered trademark, business name etc. 

CANCELLATION 
Cancellation during the Project 
If you choose to cancel the project midway through the project, where ideas and proposals have been submitted, refund of previous payments is not possible. However, depending on the work completed and overall budget, a portion of the funds ‘may’ be returned. 
If I fall ill, or am unable to complete the project due to unforeseen circumstances, a portion of the overall budget will be returned. In most cases the complete amount will be refunded. If any works, so far completed, can be used for another designer to pick up, then a percentage will be refunded based on work completed or any other reasonable suggestion will be considered. 
Project Suspension 
I sincerely request you to trust me to do the job you are paying me to do. That you will take on board my suggestions, ideas, to be in your interests. 
I am not an art-worker, and therefore, I will not tolerate any form of micro-managing, or forced art direction during development of the project. 
I reserve the right to suspend any project if a client: interferes with excessive micromanaging, demonstrates a continued lack of trust and inability to move forward after showing more than a reasonable number of unique logo ideas/concepts, and/or shows reluctance in paying the final payments. 
Fair notice will be given with fair chance to remedy the situation without resorting to project suspension or termination. Any suspension, or termination, will not result in any refunds and all designs and works thus developed remain the full ownership of Company Ltd. 
LASTLY 
If you are unhappy about the progress of the project, feel we are not finding an appropriate angle, then please discuss this with me. I would encourage you to call rather than email, I am very easy going and even easier to talk to. 
It is crucial that we are both completely clear about the objectives and aims before commencing. Now is the time to be open with your thoughts, doubts and/or concerns.

Once you have signed and sent back this proposal, please arrange the first payment so that we can get started with the project. Until this payment is received, I cannot book your project in, and other jobs may take precedence in this time.
